| 1. | All products of Herley General Microwave can be ordered directly from Herley Farmingdale in the USA or from our sales distributors in the USA or in the international market as specified in our web site http://www.herley.com/. As minimum, a Request For Information or Quotation (RFI/ RFQ) should consist of a model number, option (wherever applicable), product name, specification, quantity and preferred delivery. An RFI/Q including description of the application, program name, evaluation criteria and any other supportive information would assist us providing the optimized solution for this requirement. | | 2. | Our standard term of payment is by letter of credit from a bank approved by Herley General Microwave. All prices are Ex-works and include packing to good commercial practice. | | 3. | Title and risk of loss and damage pass to the purchaser when the shipment is accepted by a common carrier. | | 4. | Unless specific instructions accompany the order, shipment is made via uninsured UPS, Fed Ex, or a similar shipping company. All freight charges and other shipping and taxes costs are to the charge of the buyer. | | 5. | Return Material Authorizations (RMA) is required prior to return of units to Herley General Microwave. Units returned for repair must be returned freight prepaid. If warranty repair is applicable, the unit will be repaired and returned freight prepaid. If warranty repair is not applicable, the customer will be advised of the evaluation and repair charges. In this case, all of the shipping charges and insurance cost will be by the customer. | | 6. | Units returned for repair must be returned with description of failure and any other supportive information, if available. | | 7. | Herley General Microwave is obligated to process all orders based on the relative Defense Department priorities. Accordingly, all DO or DX ratings should be included on advance and confirming purchase orders. | | 8. | Prices quoted are based on customer’s inspection at destination. If pre-cap or source inspection is desired, a charge of $500 per half a day of inspection, or 3% of the hardware price, whichever is greater, will be charged. | | 9. | Quoted price is based on production and shipment in accord with Herley General Microwave’s most economical rate including accelerated and/ or earlier delivery. Herley General Microwave reserves the right to make partial shipments on a line item or quantity basis. | | 10. | All inventions conceived or first reduced to practice during the course of any contract or order placed with Herley General Microwave are the property of Herley General Microwave and no rights by way of license or otherwise to such inventions are granted by Herley General Microwave, notwithstanding any clauses to the contrary included or referred to in the solicitation, contract order. | | 11. | Company policy prohibits dissemination of proprietary data. Exception is taken to any such requirement. | | 12. | Herley General Microwave will take its best efforts to ship on/ before the promised delivery date. However, failure to do so will not be considered cause for cancellation or for claims arising therefrom. | | 13. | Herley General Microwave must approve a request for cancellation. Typical cancellation fees are as follows:
(1) In case of Catalog Product with/without options: –20%
(2) In case of a non Catalog Product or customized Catalog Product – 50% | | 14. | Unless otherwise indicated, all prices quoted are based on hardware tested in according with Herley General Microwave’s standard acceptance test procedure for the product; prices do not include special testing, e.g., qualification, sample or environmental testing; nor do they include deliverable items of software or data. | | 15. | If required by supplier’s local state/country regulations to collect sales, VAT or other duties or taxes, this will be added the appropriate invoices unless advised to the contrary. In all other cases, it is understood that buyer will pay any applicable duties or taxes. | | 16. | Some of the products by Herley General Microwave may require Government export Licenses prior to shipment. Therefore, please provide End User and End Use information when placing your purchase order. | | 17. | These terms and conditions are exclusive and in lieu of all other obligations, liabilities or warranties. In no event shall Herley General Microwave be liable or responsible for incidental or consequential damages or for any other direct or indirect damage, loss, cost expense or fee. | | 18. | Herley General Microwave warranties all parts of equipment of its manufacture to be free from defects caused by faulty material or poor workmanship. | | 19. | Liability under this warranty is limited to the obligation to repair, or, at Herley General Microwave’s sole option, to replace without charge, ex-factoty Herley General Microwave’s plant, any part found to be defective under normal use and service within the time periods shown below, provided:
(1) Herley General Microwave is promptly notified within the warranty period in writing upon discovery of such defects;
(2) The original parts or equipment are returned to Herley General Microwave, transportation charges prepaid;
(3) Herley General Microwave’s examination shall disclose to its satisfaction that such defects have not been caused by abuse after delivery; and
(4) Warranties shall not apply to items which have been repaired or altered by others than Herley General Microwave or its authorized agency. | | 20. | Warranty:
(1) Standard warranty for a new product - one year after the original shipping date of the purchase order.
(2) Standard warranty for a repaired product:
i. Repair is completed more than three months before the ending of the warranty – until warranty is ended.
ii. Repair is completed less than three months before the ending of the warranty – three months. |
